Section 04

Partner Obligations

Accuracy of Listings

You agree to maintain accurate, current, and complete information on your salon profile at all times, including service descriptions, pricing, working hours, and location. Misleading or inaccurate listings may result in account suspension.

Service Delivery

By accepting a booking through the Platform, you commit to delivering the agreed service at the specified time and location. Repeated cancellations, no-shows, or failure to honour confirmed bookings without sufficient notice may result in penalties, reduced visibility, or account suspension.

Legal Compliance

You are solely responsible for ensuring that your salon operates in compliance with all applicable laws, including health and safety regulations, business licensing, labour laws, tax obligations (including GST), and consumer protection requirements.

Professional Conduct

Partners must treat all customers with professionalism, courtesy, and respect. Any form of harassment, discrimination, or inappropriate conduct toward customers or Naai personnel is strictly prohibited and may result in immediate account termination.

Prohibited Activities

You agree not to engage in any of the following:

  • Listing services or pricing that you do not intend to honour
  • Soliciting customers to make bookings outside the Naai platform to avoid platform fees
  • Manipulating reviews, ratings, or platform algorithms
  • Creating multiple partner accounts to exploit promotions or circumvent restrictions
  • Using the Platform for any illegal, fraudulent, or deceptive activity
  • Reverse engineering, scraping, or otherwise attempting to extract data from the Platform
Section 05

Bookings, Cancellations & No-Shows

Booking Process

When a customer books a service through Naai, a binding appointment is created between the customer and your salon. Naai facilitates this booking and provides tools for management but is not a party to the service contract between you and the customer.

Cancellation Policy

Partners may set their own cancellation and no-show policies within the bounds of Naai's platform guidelines. You must ensure your cancellation terms are clearly displayed on your profile. Naai reserves the right to establish minimum standards for cancellation policies to protect customer experience.

Partner-Initiated Cancellations

If you cancel a confirmed booking, you must do so with as much advance notice as reasonably possible. Repeated partner-initiated cancellations may result in reduced visibility on the platform, temporary suspension, or additional review of your account.

No-Show Policy

If a customer fails to appear for a confirmed booking without prior cancellation, you may report the no-show through the Platform. Naai's customer no-show policies and any associated charges are governed separately by the customer-facing Terms of Service.

Section 06

Earnings, Fees & Payouts

Platform Fees

Naai may charge platform service fees for bookings facilitated through the Platform. The applicable fee structure will be communicated to you clearly within the Platform and may be updated with reasonable notice. Continued use of the Platform following a fee change constitutes acceptance of the updated fees.

Earnings & Payouts

Earnings from bookings completed through Naai will be tracked within your partner dashboard. Payouts are subject to your completion of GST verification and provision of valid banking details. Payout schedules and methods will be communicated within the Platform.

Taxes

You are solely responsible for all tax obligations arising from your salon's revenue, including GST filing and payment. Naai may provide earnings reports for your reference but does not provide tax advice or assume liability for your tax compliance.

Disputes

If you believe an earnings calculation or payout is incorrect, you must raise a dispute by contacting support@naai.co.in within 30 days of the relevant payout period. Disputes raised after this period may not be eligible for review.

Section 07

Intellectual Property

Naai's Intellectual Property

All rights, title, and interest in and to the Naai Partners Platform, including its design, software, brand assets, trademarks, logos, and proprietary technology, are owned by Naai or its licensors. You are granted a limited, non-exclusive, non-transferable, revocable licence to use the Platform solely for the purpose of managing your salon business.

Your Content

By uploading salon images, logos, descriptions, and other content ("Partner Content") to the Platform, you grant Naai a worldwide, royalty-free, non-exclusive licence to use, display, reproduce, and distribute such content for the purpose of operating and promoting the Naai platform, including displaying your salon to potential customers.

You represent and warrant that you own or have the necessary rights to all Partner Content you upload, and that such content does not infringe any third-party intellectual property, privacy, or other rights.

Section 08

Reviews & Ratings

Customers may leave reviews and ratings for your salon following completed bookings. You acknowledge that Naai does not edit, suppress, or remove reviews except in cases of clear policy violations (e.g., abusive language, spam, or fake reviews). You may not offer incentives to customers in exchange for positive reviews or attempt to manipulate your salon's rating in any way. Naai reserves the right to investigate and act upon any suspected review manipulation.

Maximum Liability Cap

In no event shall Naai's total aggregate liability to you for all claims arising from or relating to your use of the Platform exceed the total platform fees paid by you to Naai in the three (3) months immediately preceding the event giving rise to the claim.

Third Parties

Naai is not responsible for the actions, conduct, or content of customers, third-party service providers, or other parties interacting with your salon through the Platform. Any disputes between you and customers must be resolved between the parties directly.

Section 10

Section 11

Account Suspension & Termination

Termination by You

You may deactivate and delete your partner account at any time by requesting account deletion through the app or by contacting support@naai.co.in. Pending bookings must be honoured or appropriately cancelled before deletion is processed.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

Dispute Resolution

In the event of any dispute, controversy, or claim arising from or relating to these Terms or your use of the Platform, the parties shall first attempt to resolve the matter through good faith negotiation within 30 days of written notice of the dispute. If the dispute cannot be resolved through negotiation, it shall be submitted to binding arbitration in accordance with the Arbitration and Conciliation Act, 1996, conducted in English.

Jurisdiction

Notwithstanding the arbitration clause, both parties consent to the exclusive jurisdiction of the courts located in India for any matters that cannot be resolved through arbitration or require interim injunctive relief.

Class Action Waiver

All dispute resolution proceedings will be conducted on an individual basis. You waive any right to bring claims as a plaintiff or class member in any class action, consolidated, or representative proceeding.

If any provision of these Terms is found to be invalid, illegal, or unenforceable under applicable law, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall continue in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision on any future occasion.
